Aldena Terms of Service

These Terms of Service ("Terms") govern your access to and use of Aldena, the persistent AI product-team platform operated by Aaron Delasy ("Aldena", "we", "us", or "our"). Please read them carefully.
Account registration is open to the public through self-service sign-up. Paid use is live: when you purchase usage credits, billing is handled through a third-party payment processor that acts as the merchant of record for the sale (see Section 10).
1. Agreement to terms
By accessing or using the Service — including signing in to an account, or using any room or agent — you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization. You must have the legal capacity to enter into a contract to use the Service.
2. Definitions
- Service — the Aldena website, applications, APIs, and the Aldena product (including rooms, agents, connectors, memory, logging, and rollback features).
- Room — an isolated workspace you create and configure, staffed with one or more Agents and scoped to a project or client.
- Agent — an AI worker (powered by third-party large language models, including Claude) that takes tasks, uses shared memory, requests approval on risky actions, and produces Output within a Room.
- User Content — anything you or your users submit to or generate through the Service, including room configuration, chat messages, prompts, uploaded files and code (attachments), and connector credentials and tokens.
- Output — content an Agent generates in response to your instructions, including code, text, summaries, and the results of actions taken through Connectors.
- Connector — an integration you enable that lets Agents act through a third-party service (for example, a GitHub source connector or a messaging connector).
3. Eligibility and accounts
You must be at least 18 years old to use the Service. The Service is intended for businesses and is not directed to children.
You agree to provide accurate, current information when you create an account, and to keep it up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorized access.
Access to the Service is subject to these eligibility requirements, and we may limit, suspend, or revoke access at any time, with or without notice, to protect the Service or others. We may use third-party sign-in providers (for example, GitHub, Slack, or Atlassian OAuth); your use of those providers is governed by their own terms.
4. The Service
The Service lets you spin up Rooms staffed with AI Agents that take tasks, use shared memory, request approval on risky actions, and ship work behind logging and rollback.
The Service is provided as is and may change, be interrupted, or be discontinued at any time. We do not guarantee any particular uptime, availability, performance, or result, and we may impose or change limits on rooms, compute, token budgets, and other resources. You should not rely on the Service as your sole system of record and should maintain your own backups of important User Content and Output.
5. Acceptable use
You agree not to, and not to permit anyone else to:
- use the Service for any unlawful, infringing, fraudulent, or harmful purpose, or in violation of any applicable law or third-party right;
- upload, generate, or transmit malware, or content that is illegal, infringing, or that you do not have the right to provide;
- abuse, circumvent, or attempt to circumvent compute limits, token budgets, rate limits, or other technical or usage restrictions;
- reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
- resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted;
- use Agents, Connectors, web-scraping tooling, or any other feature to access, attack, overload, or scrape any third party or system in a manner that is unauthorized or unlawful; or
- interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it or its related systems.
You are responsible for ensuring your use of the Service — and any actions Agents take on your behalf — complies with all laws and contractual obligations that apply to you and your clients.
6. User Content and your responsibilities
As between you and Aldena, you retain all ownership of your User Content, including your code and inputs. We do not claim ownership of it.
You grant Aldena a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process your User Content solely to operate, provide, secure, and support the Service for you — including running Agents, executing actions you authorize, and providing logging and rollback. This license ends when your User Content is deleted, except for residual copies retained in routine backups for the period described in our Privacy Policy and as required by law.
You represent and warrant that you have all rights, consents, and authorizations necessary to provide your User Content and to authorize the actions Agents take on your behalf, including any client authorizations required for actions taken against client systems or repositories.
7. AI Outputs
To the extent Aldena holds any rights in Output generated for you, we assign those rights to you, subject to your compliance with these Terms and to our and our providers' underlying rights in the Service and the models.
Output may be inaccurate, incomplete, insecure, out of date, or infringing. Similar inputs may produce different results, and the same Output may be generated for other users. You must review, test, and verify Output before relying on, publishing, or deploying it — especially code. You are solely responsible for your use of Output. Output is provided without warranty of any kind.
8. Agent autonomy and human oversight
Agents act on the instructions and configuration you provide. The Service may offer manual-approval modes (where an Agent pauses to request your approval for risky actions) and more autonomous modes. You are responsible for the actions you authorize, including actions taken automatically when you enable an autonomous mode, and for choosing the mode appropriate to your risk tolerance.
Logging, audit, and rollback features are provided to help you supervise Agents, but they are provided "as is", may not capture or reverse every action (including effects on external systems through Connectors), and are not a substitute for your own review and controls.
9. Connectors and third-party services
Connectors let you authorize Agents to act through third-party services such as GitHub. Your use of any third-party service is governed by that service's own terms and privacy practices, and you are responsible for complying with them. By enabling a Connector, you authorize Aldena and its Agents to access and act through that service on your behalf within the scope you grant, and you represent that you have the right to grant that access. We are not responsible for third-party services, and your relationship with them is solely between you and the provider.
10. Fees and billing
The Service is billed through prepaid usage credits — there is no recurring subscription fee. You add funds to your team's credit balance in advance through one-off top-ups (minimum top-up US$10), and by purchasing credits you agree to the prices and billing terms presented to you at checkout and authorize us and our payment processor to charge your payment method for the amounts due.
A platform fee of 20% of the credit amount is added when you purchase credits. The fee is shown as a separate line item at checkout before you pay and is charged in addition to the credit amount; the full credit amount you enter is what is added to your team's balance.
As your Agents work, AI usage is deducted from the credit balance at the model providers' list rates, and any other metered charges (such as room server time) are deducted at the rates presented in the Service. When the balance reaches zero, new requests are blocked and in-flight work pauses until the balance is topped up again.
We sell credits through a third-party payment processor, Paddle, which acts as the merchant of record for the transaction. Paddle processes payments, issues invoices and receipts, and collects and remits applicable taxes (such as VAT or sales tax), which are added at checkout to the prices shown. Your purchase is also subject to Paddle's own buyer terms. Unless stated otherwise, prices are exclusive of taxes.
Credits are prepayments for use of the Service: they are not money or stored value, carry no interest, and are non-transferable. We may change our fees, rates, top-up limits, and the platform fee percentage on reasonable notice, with changes applying to purchases made and usage incurred after the change takes effect. Refunds are addressed in Section 11.
11. Refunds
We want you to be satisfied with the Service. On request, and at our discretion, we may refund amounts you were charged during your most recent billing cycle, reduced by the value of any AI usage incurred during that cycle.
- Discretionary. Refunds are provided at our discretion and are not guaranteed. We may decline a request, including where we reasonably suspect abuse of this policy, fraud, or a breach of these Terms.
- AI usage is non-refundable. Because AI usage is consumed and incurs real third-party costs, the value of the AI usage you incurred during the cycle — measured at our standard usage rates — is deducted from any refund and is not itself refundable.
- Scope. This policy covers amounts charged in your most recent billing cycle only. Earlier billing cycles are not covered, and taxes collected and remitted by the merchant of record are handled under its buyer terms rather than this policy.
- How to request. Email [email protected] from the address associated with your account. Approved refunds are issued through our payment processor (the merchant of record) to your original payment method; how long they take to appear depends on your bank or card provider.
Nothing in this Section limits any non-waivable statutory refund or cancellation rights you may have under the law that applies to you.
12. Intellectual property
The Service, including its software, design, and all related intellectual property, is and remains owned by Aldena and its licensors. Except for the rights expressly granted to you in these Terms, we grant you no rights in the Service. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your authorized access.
If you choose to give us feedback or suggestions, you grant Aldena a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you.
13. Confidentiality
Each party may receive non-public information from the other in connection with the Service. The receiving party will use the disclosing party's confidential information only to perform under these Terms, protect it with reasonable care, and not disclose it except to people who need to know it and are bound by similar obligations. This does not apply to information that is or becomes public through no fault of the receiving party, is independently developed, or is required to be disclosed by law (with notice where permitted).
14. Term and termination
These Terms apply while you access or use the Service. You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, including if we believe you have violated these Terms, to protect the Service or others, or because we discontinue the Service.
On termination, your right to use the Service ends and we may deactivate your account and Rooms. Sections that by their nature should survive — including User Content ownership, AI Outputs, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — survive termination. Handling and deletion of your data following termination are described in our Privacy Policy, subject to retention periods and legal holds.
15. Disclaimers
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE, RELIABLE, SECURE, OR FIT FOR YOUR PURPOSE. AI-GENERATED OUTPUT MAY BE WRONG, AND YOU ARE RESPONSIBLE FOR VERIFYING IT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALDENA AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. ALDENA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100. THESE LIMITS APPLY IN THE AGGREGATE AND REGARDLESS OF THE THEORY OF LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
17. Indemnification
You will defend, indemnify, and hold harmless Aldena and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, actions you authorize Agents to take (including through Connectors and autonomous modes), or your violation of these Terms or of any law or third-party right.
18. Governing law and disputes
These Terms are governed by the laws of England and Wales, without regard to its conflict-of-laws rules. You and Aldena agree to the exclusive jurisdiction of the courts located in England and Wales for any dispute arising out of or related to these Terms or the Service, and each party waives any objection to venue there.
19. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by updating the "Last updated" date below or by other notice. Changes take effect when posted unless stated otherwise, and your continued use of the Service after they take effect constitutes acceptance.
20. General
These Terms, together with the Privacy Policy, are the entire agreement between you and Aldena regarding the Service and supersede any prior agreements on that subject. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control. We may provide notices to you through the Service or the contact details associated with your account.
